Tanzania is in the middle of one of the most ambitious infrastructure programmes in sub-Saharan Africa — from the Standard Gauge Railway and the Julius Nyerere Hydropower Dam to the proposed LNG development in Lindi and a substantial pipeline of public-private partnerships. Financing projects of this scale demands precise legal structuring and disciplined risk allocation.
Leyrand advises sponsors, lenders, and development finance institutions across the full project lifecycle. We structure special-purpose vehicles, negotiate the suite of project documents, and build the security and intercreditor arrangements that bankable transactions require.
Structuring and documentation. We draft and negotiate the core agreements — shareholder and sponsor support arrangements, EPC and O&M contracts, supply and offtake agreements, and the financing and security documents that hold a transaction together.
Risk allocation. The discipline of project finance is the allocation of risk to the party best able to bear it. We advise on supply risk, construction and operational risk, currency and interest-rate exposure, political and sovereign risk, and the offtaker and counterparty arrangements that determine whether a project reaches financial close.
Credit support and insurance. We work with multilateral guarantees, export credit agency facilities, and political risk cover — structuring obligations so that available credit enhancement can be deployed cost-effectively.
